Nonprofit User Agreement
Effective: October 1, 2025
Welcome to the Stablish Giving Fund community. Stablish Charitable Giving Fund ("Stablish Giving Fund," "we," "us," or "our") accepts charitable donations and makes grants to eligible charitable organizations in furtherance of its mission.
Stablish Giving Fund is recognized by the IRS as a tax-exempt public charity under Section 501(c)(3) of the Internal Revenue Code (Federal Tax ID: xx-xxxxxxxxxx). We are not a donor advised fund. All contributions are irrevocable gifts to Stablish Giving Fund, which retains exclusive legal control and discretion over donated funds, while making every effort to honor donor designations in accordance with our Donation Delivery Policy.
This Nonprofit User Agreement ("Agreement") is a binding contract between you and Stablish Giving Fund. It explains our commitments to you and your responsibilities as a Participating Nonprofit. By enrolling, you confirm that you have read, understood, and agreed to these terms.
Sections
1. Our Relationship with You
1.a We register qualified nonprofit organizations ("Participating Nonprofits") and display information about them to Stablish Users and to users of our partner websites and services.
1.b We accept and process donations from donors and distribute funds as grants to Participating Nonprofits in line with donor designations, subject to the terms of this Agreement and our Donation Delivery Policy. Stablish Giving Fund issues all official tax receipts to donors.
2. Eligibility to Participate
2.a Participating Nonprofits must:
- Qualify as a tax-deductible charitable organization under Section 170 of the Code.
- Be recognized as a Public Charity under Section 509(a) or as a Private Operating Foundation.
- Private non-operating foundations and supporting organizations are not eligible.
2.b Enrollment requires:
- Legal name of the organization.
- Proof of tax-exempt charitable status (e.g., IRS determination letter).
- Valid contact email.
- Nonprofit Profile details including logo and mission statement.
2.c We may use third-party service providers to review and verify your status.
2.d You must update your Nonprofit Profile to remain accurate and compliant.
3. Your Obligations
3.a You grant Stablish Giving Fund a non-exclusive license to use your Name, Logo, and Mission Statement in connection with solicitations, marketing, and listings on our site and partner platforms. Ownership remains with you.
3.b You are solely responsible for compliance with all applicable laws, including state charitable solicitation requirements.
3.c You agree to abide by our Nonprofit Certification Policy and other communicated standards.
4. Receiving Donations
4.a We may post your Nonprofit Profile on the Stablish Giving Fund website, Stablish.io, and partner platforms.
4.b We make no guarantee that you will receive donations.
4.c Grants are distributed into the Confirmed Charity Account listed in your profile. You are responsible for ensuring accurate information.
4.d Donations are made to Stablish Giving Fund, not directly to you. We issue donor tax receipts, then grant distributions at our discretion, consistent with donor designations. Stablish Giving Fund retains exclusive legal control over all funds.
4.e Donor information may be shared with you (unless anonymous) for acknowledgement, issue resolution, and reporting. You may not use donor data for marketing without explicit consent.
4.f We may withhold or redirect funds if:
- Your profile is inaccurate.
- You breach this Agreement.
- You lose charitable status.
- Granting funds would violate law or our policies.
4.g You must promptly return any funds if:
- You cease to qualify as a Public Charity or Operating Foundation.
- This Agreement terminates.
- You are not in good standing.
- We determine a donor refund is required.
4.h Funds must be used only for charitable purposes. They may not provide impermissible private benefits (e.g., tickets, pledges, memberships) or support prohibited activities (e.g., terrorism, money laundering, or illegal conduct).
5. License and Access
While a Participating Nonprofit, you may access the Nonprofit Area of our website. Licenses are non-transferable and limited to your authorized employees/volunteers.
We retain ownership of all website content and intellectual property.
6. Donation Deductions and Fees
We do not charge nonprofits to enroll or participate. However, some partners (e.g., payment processors, platforms) may deduct fees from donations, as disclosed on our partner page.
7. Taxes
You are responsible for any taxes or assessments (e.g., sales, use, value-added) related to your activities under this Agreement.
8. Warranties and Disclaimers
You represent and warrant that:
- You are, and will remain, a valid 501(c)(3) Public Charity or Private Operating Foundation.
- All information you provide is true and accurate.
- You will comply with all laws governing charitable solicitation and tax-exempt organizations.
- You have authority to provide your Name, Logo, and Mission Statement and grant us related licenses.
Disclaimer:
Our services and website are provided "as is." We make no warranties regarding uptime, performance, donation volume, or your compliance with legal requirements.
Liability Limitation:
Our total liability to you under this Agreement shall not exceed $10.
You agree to indemnify Stablish Giving Fund from claims arising out of your breach of this Agreement.
9. Term and Termination
Effective upon enrollment and continues until terminated.
You may terminate with 7 days' notice.
We may suspend or terminate at any time, with notice.
Upon termination, your profile will be removed and licenses expire.
Certain obligations (Sections 3, 4, 5, 7, 8, 9, 10) survive termination.
10. Miscellaneous Terms
This Agreement, along with incorporated policies ( Privacy Policy, Donation Delivery Policy, Nonprofit Certification Policy), constitutes the entire agreement.
No partnership, joint venture, or employment relationship is created.
Notices will be sent to the email listed in your profile.
We may amend this Agreement with 14 days' notice by posting updates. Continued participation constitutes acceptance.
California law governs this Agreement. Disputes will be resolved by mediation, and if necessary, arbitration under AAA rules.
11. Definitions
Agreement:
This Agreement and incorporated policies.
Code:
Internal Revenue Code of 1986, as amended.
Donors:
Users who make donations to Stablish Giving Fund.
Fundraisers:
Users who raise funds through Stablish Giving Fund.
Logo:
Your organization's trademark or graphic identity.
Mission Statement:
Your written statement of charitable purpose.
Name:
Your organization's legal name.
Nonprofit Area:
Restricted portion of our site for nonprofit users.
Nonprofit Profile:
Profile containing your nonprofit's information.
Participating Nonprofit:
Eligible nonprofits approved by us.
Stablish Giving Fund Website:
www.stablishgivingfund.org and subdomains.
Stablish Users:
Users of services operated by Stablish Solutions, Inc. or affiliates.
Privacy Policy:
Our posted privacy policy.
Proof of Status:
IRS determination letter or equivalent.
Public Charity:
A tax-deductible organization meeting Section 509(a) requirements.
Tax-Deductible Organization:
An organization eligible under Section 170.
